OHADA
OHADA (Organisation pour l’harmonisation en Afrique du Droit des affaires – Organisation for the Harmonisation of Commercial Law in Africa) is an international organisation composed of seventeen mostly francophone Sub-Saharan African countries including Benin, Burkina Faso, Cameroon, Central African Republic, Côte d’Ivoire, Comoros, Gabon, Guinea, Guinea Bissau, Equatorial Guinea, Mali, Niger, Senegal, Tchad, the Democratic Republic of Congo (DRC), the Republic of Congo and Togo. It was created to harmonise business law amongst its state members by adopting modern, supranational rules in the form of uniform acts.
The uniform acts cover various areas of commercial law. To date, ten uniform acts have been adopted in the field of among others of corporate law, securities law, restructuring law, insolvency law, debt enforcement and transport of goods law.
These uniform acts are directly applicable and binding in the legal framework of the member states. They supersede any local law that is contrary to them.
